"Hongtel Online" of the Shanghai Portable Business Consulting Co., Ltd. provides members with real-time hotel bookings via its online booking system, hereinafter referred to as [the system]. Members should carefully read the following user agreement prior to using the system. The system's member registration and logins are completed free of charge. There is no yearly fee. Article 1: Member Login After users become members in the system, other agents are prohibited from logging in, lending, transferring or sharing the member's account. The member is responsible for the keeping of his/her login ID and password. Article 2: Application Terms These rules apply to the use of the system by registered members. Upon the establishment of registration, both parties agree to comply with the rules of this obligation. Article 3: The System's Services Members use the system's services free of charge. [Hongtel.com] Reservation Services 1) View hotel information upon logging into the system 2) Provide hotel booking services upon logging into the system 3) Provide reservation cancellation services upon logging into the system Article 4: The Company's Reserved Rights Regarding reservations, the charging of cancellation fees and any other fees is directly negotiated between hotel management and Hongtel members. The company will not intervene in such negotiations. Article 5: Third Party Use of the System Members are responsible for the safekeeping of their member ID and password. If an account is used by a third party, the system has no way of identifying third party use and will treat any third party as the member. In the event of monetary loss caused by a third party, the company is not entirely responsible. Article 6: Payment of Incurred Hotel Costs 1. When using the system's hotel booking services, hotel costs are paid directly to the hotel by the member. 2. In the event of a cancellation fee, charges are paid directly to the hotel by the member. Article 7: Reservation Modifications and Cancellations [Hongtel.com] Reservation Services 1. Once a formal reservation is made, members may cancel or make changes. 2. Members who have modified or cancelled their reservation should promptly contact the hotel directly. 3. The company is not responsible for the hotel deposit (some hotels' policies ask for a deposit fee) or the cost of cancelling or modifying a reservation. 4. Upon cancellation of a reservation, members can contact the hotel either through the system or directly via telephone. At this point, the hotel may charge a cancellation fee, according to its policy; this fee should be paid directly to the hotel. The system can only inform hotels of a cancelled reservation if it is made well before the reservation cancellation deadline. After the deadline, members should directly contact the hotel to cancel the reservation. 5. Those reservations that are not cancelled before the latest Check-in time may incur a cancellation fee according to each hotel's individual policy. Said fees should be paid directly to the hotel. Article 8: Important Notes Regarding "Hongtel Booking Online" Reservation Services 1. Room availability and room rates published on the system may differ from those published in other places (including other websites). 2. In the system, sometimes hotels will change room rates and other information. If changes are made before booking, the new rates will apply. If changes are made after booking, the original prices stand. 3. According to the system's accommodation booking contract, any booking agreement exists directly between the member and the hotel. As such, the company is not responsible for actual room availability and other related matters. 4. Hotel information on the system is managed directly by the hotel management. As such, the company is not responsible for erroneous hotel information. Article 9: Copyright Unless specifically licensed by the company, under no circumstances will the company disclose any information stored within the system for reasons other than personal use, under the Copyright Laws provided for individuals. Unless specifically licensed by the company, under no circumstances will the company disclose any information stored on the system to any third party. In the event of dispute regarding violation of the provisions of this article, resolutions should take into account both the damage to the member and their responsibilities, as well as the the protection of the company and the third party. Article 10: Interruption of Services (Short-term) and Termination of Services The company, subject to the following conditions, may interrupt or terminate operation of the system without advance notice. Under the following conditions, the company shall not be held responsible for any damages incurred by members. 1. Regular maintanence of the system or in an emergency situation 2. In the event where the state of the system cannot provide normal services, due to war, riots, disturbances, strikes, earthquakes, volcanoes, floods, tsunamis, fires, power failures, etc. 3. In the event of a violation of these rules, the company must judge the situation accordingly. 4. Any situation which requires interruption of the company's operating systems. Article 11: (Waiver of Liability, etc) The company shall not be held responsible for system failures caused by the email service provider or a third party. Disputes arising between members and a third party regarding the system's information shall be settled by the company in good faith. Article 12: Prohibitions A. Members using the system are prohibited from the following: 1. Acting against or potentially acting against another member, a third party or the company. 2. Acting against or potentially acting against the property or right to privacy of another member, a third party or the company. 3. Apart from the aforementioned rules 1 and 2, to adversely harm or potentially harm other members, a third party or the company. 4. Acting contrary to public order and good customs, or any act which might violate them therein. 5. Criminal acts or any conduct related to or connected with the possibility of criminal acts. 6. Using the system or a connection to the system for profit or in preparation for profit without the specific approval of the company. 7. Improper use of the member ID and/or password. 8. Using false information to log on as a member. 9. The introduction or use of harmful virus programs in the system or its associated units. 10. Violating the law or any act which might violate the law. 11. Any other act of inappropriate behavior as defined by the company. B. Upon recognition of any of the above violations, the company is authorized to cancel the membership of the offending user without prior notice and to take any other necessary measures. Members take full legal responsibility for any damages caused by violating the above rules. Article 13: System Requisites Please set your computer to display the appropriate language (English), including for email, etc. If the appropriate language is not set, the company shall not be held responsible for any erroneous effects generated by the language setting. In addition, the company shall not be held responsible for any inappropriate settings of the OS or LAN environment that affect normal operation of the system. Article 14: Use of Personal Information A. The following conditions permit the use of personal information in matters of business. 1. Providing the hotel with the personal information of guests making reservations for contact purposes. 2. In order for the company to provide more solid, reliable service. 3. When necessary, for the purposes of contacting members. 4. In order to implement system features, to survey usage among members, for cooperation in hotel business, and for various in-company reports. B. With regard to business which requires the availability of members' personal information, the company permits its use under the following conditions. In connection with Third Parties 1. Members agree to the situation. 2. The above item 1 requires that the purpose of such a situation be stated. 3. In order to allow the investigation of crimes by police, prosecutors, bar associations and those organizations who have the right to such information under the circumstances. 4. In cases of an urgent need to contact, in order to protect the lives, bodies or property of the member. C. The information we provide to a third party may come from registration information, or information obtained while using our services. This info may be obtained through the system, or other electronic and non-electronic media. D. In accordance with the member's requirements, the company may provide data to a third party. (However, the member might be unable to use all the services provided by the company.) Article 15: Membership Account Termination Procedures If a member must terminate his/her account, the member must at least send the company a record notification email before termination is considered complete. If any of the following items are missing from the notification email, the notification is considered void and termination will not be complete. 1. Terminated member's account name 2. Application for account termination Article 16: About Surveying According to the company's commercial needs, the company will on occasion ask members about the use of the hotel room rates and information displayed by the system. In such cases, our company staff will inform the member of his/her identity. <br/> Article 17: Primary Court of Law In the event of a dispute between the company and its members regarding regulations, the parties shall be heard by the seat of the Party in Shanghai's Jing'An District Court. Article 18: Integrity Agreement If these regulations were not adequately explained or if there arises dissent regarding the above policies, the two sides shall negotiate a settlement in good faith. Article 19: Regulation Changes/Updates Because its members may not agree in advance to changes or updates to the rules and regulations, the company asks that members using the system check and confirm the regulations every time. Rules and regulations changed after a booking is made do not affect the terms of the booking.
